Sjostrom on J&J/Guidant Dispute

William_sjostrom_2 One of the the year’s biggest busted deals is likely to result in a blizzard of litigation, and a key issue will be a nice question of contract interpretation: Did a recall of some medical devices and accompanying regulatory investigations constitute a “material adverse effect” on Guidant Corp. that would let Johnson & Johnson back way from its planned $25.4 billion takeover?  Guidant says no, and plans to sue.
