A Contract with Darth Vadar

In addition to contributing here, I am (with Dave Hoffman) the co-editor of the Jotwell section on Contracts and will be letting all of you good people know when a new post goes up there.  Guess what – a new post has gone up there!  Hila Keren, the Associate Dean for Research and Professor of Law at Southwestern Law School, has written, I Am Altering the Deal.  Pray I Don’t Alter it Any Further, which is a review of Shmuel I. Becher & Uri Benoliel’s article,  Sneak in Contracts:  An Empirical Perpective, 55 Ga. L. Rev. (forthcoming).  The review (and article) are about those annoying “at will” clauses that create all sorts of consideration/illusory promise/mutuality problems – but which companies keep putting in their contracts.    Read it and find out what it means to be a “Darth Vadar” firm.
